1. Acceptance of Terms

By accessing or using any portion of the learnCREF platform, website, or related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Silverthread Capital LLC ("learnCREF," "we," "us," or "our"), based in Rye, NY 10580.

2. Description of Services

learnCREF is a professional development platform focused on commercial real estate finance and mortgage origination. Our services may include:

• On-demand video courses and educational modules
• Downloadable tools, templates, and reference materials
• Live group webinars and cohort training programs
• One-on-one coaching engagements
• Office and team training programs
• A practitioner community membership
• Career resources and lead-generation materials

The specific features, content, and pricing of services are described on the Platform and may change from time to time.

3. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

learnCREF does not guarantee that any specific license, credential, or regulatory approval will result from participation in our programs. It is your sole responsibility to understand and comply with applicable licensing laws and regulations in your jurisdiction.

4. Accounts and Registration

Certain features of the Platform require you to create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your login credentials
• Notify us promptly of any unauthorized use of your account
• Take responsibility for all activity conducted through your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used inappropriately.

5. Purchases and Payment

All purchases made through the Platform are processed through Kajabi's secure payment infrastructure. By completing a purchase, you authorize us to charge the payment method you provide for the applicable fees.

All prices are stated in U.S. dollars and are subject to change. We will provide reasonable notice of any pricing changes before they take effect for existing subscribers.

Failure to pay any amount owed may result in suspension or termination of your access to paid content and services.

6. Refund Policy

Due to the digital and immediately accessible nature of our products, all sales are generally final. Refund requests must be submitted within 36 hours of purchase unless otherwise specified below. Requests submitted after this window will not be considered.

On-demand courses and digital downloads: No refunds after purchase, as access to all materials is granted immediately upon payment.

Performance-based partial refund (on-demand courses only): A one-time partial refund of 50% of the course purchase price may be requested under the following strict conditions, all of which must be met:

• All course sessions and modules have been completed in full;
• All exercises, assignments, and action items included in the course have been completed and can be documented;
• The student has implemented the systems and frameworks taught in the course and can provide written documentation or evidence of that implementation; and
• Despite full completion and documented implementation, the systems failed to produce the expected results.

Refund requests under this provision must be submitted in writing with supporting documentation. learnCREF reserves the sole discretion to evaluate the sufficiency of the evidence provided. Requests that do not meet all conditions above will not qualify.

Coaching engagements: Fees for completed sessions are non-refundable. Prepaid session packages may be partially refunded for unused sessions if cancellation is requested in writing within 36 hours of purchase.

Webinars and cohort programs: Refunds may be issued if cancellation is requested in writing within 36 hours of purchase and prior to the program start date. No refunds will be issued once the program has begun.

Community memberships: Monthly memberships may be cancelled at any time; no partial-month refunds will be issued.

To request a refund, contact us at the address listed in Section 14. We reserve the right to deny any refund request we determine, in our reasonable discretion, is not submitted in good faith or does not meet the applicable criteria.

7. Intellectual Property

All content on the Platform — including but not limited to course materials, frameworks, templates, tools, written guides, branding, and proprietary terminology — is owned by or licensed to Silverthread Capital LLC and is protected by applicable copyright, trademark, and intellectual property laws.

Your purchase grants you a limited, non-exclusive, non-transferable license to access and use the purchased content for your own personal professional development. You may not:

• Reproduce, distribute, or resell any Platform content without written permission
• Share login credentials or course access with third parties
• Create derivative works from our proprietary materials for commercial use
• Record, screenshot, or systematically extract course content

Violations of these restrictions may result in termination of access and legal action.

8. Prohibited Conduct

When using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable regulation
• Harass, demean, or threaten other users or learnCREF staff
• Post or transmit content that is false, misleading, defamatory, or harmful
• Attempt to gain unauthorized access to any portion of the Platform
• Interfere with the technical operation of the Platform
• Misrepresent your identity or credentials in any community or coaching context

We reserve the right to remove content and suspend or terminate access for any user who violates these standards.

9. Disclaimers

The Platform and its content are provided for educational and professional development purposes only. Nothing on this Platform constitutes legal, financial, investment, tax, or regulatory advice.

learnCREF makes no representations or warranties that the skills, information, or frameworks provided will result in specific business outcomes, income levels, or career advancement. Individual results will vary based on market conditions, personal effort, experience, and other factors outside our control.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Silverthread Capital LLC, its principals, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Platform or its content, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Silverthread Capital LLC and its principals, employees, and affiliates from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Westchester County, New York, and you hereby consent to personal jurisdiction in those courts.

We encourage you to contact us first to resolve any concerns informally before initiating formal proceedings.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
